Terms of Trade

1.0     Definitions

1.1      “Company” refers to the solar installer – BOP Solar Solutions Limited.

1.2      “Customer” refers to the person or entity accepting the quote.

1.3      “Works” refers to the supply, installation, and commissioning of the solar system.

2.0     Quotes & Acceptance

2.1      All quotations are valid for 30 days unless otherwise stated.

2.2      Acceptance of the quotation, payment of a deposit, or commencement of work constitutes acceptance of these Terms & Conditions.

2.3      Any variations requested by the customer may result in additional charges.

3.0     Scope of Work

3.1      The Company agrees to supply and install solar equipment as specified in the accepted quote.

3.2      Any additional work, variations, or unforeseen requirements will be quoted and charged separately.

4.0     Pricing & Validity

4.1      Quotes are valid for 30 days unless otherwise stated.

4.2      Unless otherwise stated, prices include GST.

4.3      Pricing may be subject to change due to supplier increases, exchange rate fluctuations, or changes in project scope prior to acceptance.

5.0        Solar Buy-Back (Export Tariffs)

5.1        Buy-back rates are set by the Customer’s electricity retailer (e.g. Meridian Energy, Contact Energy, Genesis Energy).

5.2        The Company does not guarantee any specific rate, savings, or return on investment.

5.3        All estimates provided are indicative only and subject to change.

6.0        Payment Terms

6.1        A deposit (typically 30–50%) may be required before equipment ordering or scheduling installation.

6.2        Progress payments may be required for larger projects.

6.3        Final payment is due within 30 days of invoice date or upon practical completion of installation, whichever occurs first.

7.0        Late Payment & Default

7.1        Overdue accounts may incur interest at 2.5% per month.

7.2        The customer agrees to pay all debt collection costs, legal fees, and recovery expenses associated with overdue accounts.

7.3        The Company reserves the right to suspend further work or warranty service while invoices remain unpaid.

8.0     Permits & Approvals

8.1      The Company will assist with required permits and approvals where applicable.
Any council, inspection, or network provider fees are excluded unless stated.

9.0        Grid Connection & Lines Company Approval

9.1        All grid-connected systems require approval from the local electricity network provider.

9.2        Approval processes are outside the Company’s control and may impact timelines.

9.3        Additional requirements imposed by the network provider (such as export limits or equipment upgrades) may incur additional costs.

9.4        The system cannot be fully commissioned or export energy until final approval is granted.

9.5        The Company is not liable for delays caused by third parties.

10.0      Electricity Retailer & Metering

10.1       The Customer is responsible for engaging their electricity retailer for import/export metering.

10.2       Meter installation or reconfiguration may be required before system activation.

10.3       Delays caused by retailers or metering providers are outside the Company’s control.

11.0      Ownership & PPSA

11.1       All equipment remains the property of the Company until paid in full.11.1 Legal ownership of goods remains with the Company until payment is made in full.

11.2       The customer grants the Company a security interest under the Personal Property Securities Act 1999 (PPSA).

12.0      Installation Timeline and Delays

12.1       Installation timeframes are estimates only.

12.2       The Company is not liable for delays caused by weather, supply shortages, utility approvals, council requirements, or events beyond reasonable control.

13.0      Access & Safety

13.1       The customer must provide safe and reasonable access to the property during installation.

13.2       Any delays or additional costs due to restricted access may be charged.

13.3       The customer confirms the roof structure and switchboard are suitable unless otherwise identified during inspection.
15.3 Additional work required due to hidden defects, asbestos, switchboard upgrades, or structural issues will be charged separately.

 

14.0      Site Conditions

14.1       Pricing is based on standard installation conditions. Additional charges may apply where:

·           Roof access is difficult or unsafe

·           Roof pitch is steep or requires specialist equipment

·           Switchboard upgrades are required

·           Asbestos or hazardous materials are present

·           Structural modifications are required

 

15.0      Load Shifting, Delivery Access & Road Conditions

15.1       The customer is responsible for ensuring safe and reasonable access to the installation site for delivery vehicles, lifting equipment, scaffolding, and installation personnel.

15.2       Where site access is restricted due to:

  • narrow roads,

  • steep driveways,

  • unsealed surfaces,

  • weight restrictions,

  • soft ground,

  • limited turning areas,

  • bridge limitations,

  • or unsafe access conditions,

15.3       The Company reserves the right to:

  • use alternative delivery methods,

  • arrange smaller transport vehicles,

  • require crane or lifting equipment,

  • manually shift materials,

  • or reschedule work until safe access is available.

15.4       Any additional labour, transport, crane hire, traffic management, ferrying, load shifting, or equipment costs resulting from difficult access conditions shall be payable by the customer unless specifically included in the quotation.

15.5       The Company is not liable for delays caused by road closures, weather conditions, transport restrictions, site access limitations, or third-party transport providers.

15.6       The customer warrants that all accessways, driveways, and site conditions are suitable for vehicle access and delivery of solar equipment unless otherwise disclosed prior to installation.

15.7       The Company may refuse delivery or installation where site access presents a health and safety risk under the Health and Safety at Work Act 2015.

 

16.0      Variations

16.1       Any work outside the original quoted scope will be treated as a variation.

16.2       Variations may include additional cabling, switchboard upgrades, roof repairs, trenching, scaffolding, or compliance upgrades.

16.3       Variation charges must be approved by the customer in writing before work proceeds where practicable.

 

17.0      Warranties

17.1       Manufacturer warranties apply to panels, inverters, batteries, and associated equipment.

17.2       Workmanship warranty is limited to 5 years from the installation date.

17.3       Warranty does not cover:

·           accidental damage,

·           misuse,

·           unauthorised alterations,

·           storm or lightning damage,

·           internet/Wi-Fi issues,

·           normal wear and tear.

17.4       Warranty claims are subject to manufacturer's terms and conditions.

 

18.0      System Performance

18.1       System performance depends on environmental factors, including weather, shading, and usage.

18.2       The Company does not guarantee energy production levels or savings.

 

19.0      Battery Systems (If Applicable)

19.1       Battery performance depends on usage and environmental conditions.

19.2       Backup supply is limited to designated circuits unless otherwise specified.

Full off-grid capability is not included unless explicitly stated

20.0      Roof Condition & Waterproofing Warranty

20.1       The customer confirms that the roof structure and roofing materials are in sound condition and suitable for solar installation at the time of installation.

20.2       The Company is not responsible for pre-existing roof defects, including but not limited to:

  • rust,

  • corrosion,

  • cracked tiles,

  • brittle roofing materials,

  • deteriorated membranes,

  • loose fasteners,

  • leaks,

  • structural weakness,

  • or non-compliant previous repairs.

20.3       Where roof defects are identified before or during installation, the Company may:

  • suspend works,

  • require repairs prior to installation,

  • revise the quotation,

  • or decline installation where safety or waterproofing integrity may be compromised.

20.4       The Company warrants workmanship relating to roof penetrations and flashing installations for a period of 5 years from installation date, provided:

  • the roof remains structurally sound,

  • no third-party alterations occur,

  • and the roof is properly maintained.

20.5       This workmanship warranty does not cover:

  • extreme weather events,

  • storm damage,

  • earthquakes,

  • building movement,

  • roof deterioration due to age,

  • poor original roof installation,

  • or damage caused by third parties.

20.6       The customer acknowledges that existing aged or fragile roofing materials may carry an increased risk of cracking, movement, or leaks during installation despite reasonable care being taken.

20.7       Any roof repairs not specifically included in the quotation shall be charged separately.

 

21.0      Electrical Compliance

21.1       All work will be completed in accordance with New Zealand electrical standards.
Relevant certification will be provided upon completion.

 

22.0      Liability

22.1       To the maximum extent permitted by law, the Company’s liability is limited to the value of the goods or services supplied.

22.2       The Company is not liable for indirect or consequential losses, including loss of savings, business interruption, or loss of electricity generation.

22.3       The Company is not responsible for delays or failures caused by third parties.

 

23.0      Disputes

23.1       Any disputes must be raised within 5 working days of the invoice or completion.

23.2       Undisputed amounts must still be paid.

23.3       Both parties agree to attempt resolution in good faith before legal proceedings commence.

 

24.0      Cancellation

24.1       Cancellation after acceptance may incur costs for materials, labour, and administration.

24.2       Deposits may be non-refundable once materials are ordered.

 

25.0      Force Majeure

25.1       The Company is not liable for failure or delay due to events beyond its control, including natural disasters, supply disruptions, or regulatory changes.

 

26.0      Governing Law

26.1       These Terms & Conditions are governed by the laws of New Zealand.

 

27.0      Consumer Guarantees Act

27.1       Nothing in these Terms limits the customer’s rights under the Consumer Guarantees Act 1993 where applicable.

 

28.0      Entire Agreement

28.1       These Terms & Conditions form the entire agreement between the Company and the Customer unless otherwise agreed in writing.
